Terms governing use of EduMindAI services

EduMindAI provides enterprise AI learning platform technology for educational institutions and training organisations. Platform outcomes depend on implementation, learner context and institutional support — we do not guarantee specific grades, licensure or employment. Analytics and assessment features assist educators; they do not replace professional judgment. We are not a marketing agency, web studio, IT outsourcing firm or generic course marketplace.
1. Agreement to terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and EduMindAI Inc. ("EduMindAI", "we", "us" or "our"), a corporation registered in Ontario, Canada (BN 845192637ON0001), regarding your access to and use of edumindai.pro, our enterprise AI learning platform and related services.
By accessing our website, submitting a contact enquiry or using our platform services under a separate service agreement, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an educational institution or organisation, you represent that you have authority to bind that entity.
Institutional customers with executed service agreements should refer to their agreement for terms specific to platform licensing, data processing and service levels. In case of conflict between these Terms and a signed service agreement, the service agreement prevails for platform services.
2. Description of services
EduMindAI provides enterprise AI learning platform technology for educational institutions, including but not limited to: adaptive learning pathways, intelligent tutoring systems, AI student analytics, automated assessment engines, classroom AI integration tools and district-wide learning optimization programmes. We also offer professional services including platform onboarding, district pilot programmes, educator professional development, LMS integration advisory, analytics implementation and enterprise SLA support.
Our services are designed to support educators and institutions in delivering personalised learning experiences. EduMindAI is an ed-tech platform provider — not a marketing agency, web design studio, IT outsourcing firm, accredited academic institution or generic online course marketplace.
3. Eligibility and account responsibilities
Platform services are intended for educational institutions, school districts, universities, corporate L&D departments and authorised personnel acting on their behalf. Individual website visitors may browse edumindai.pro and submit contact enquiries without creating an account.
Institutional platform users receive credentials through their organisation's administrator. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify your institution's administrator and EduMindAI support immediately if you suspect unauthorised access.
4. Acceptable use
You agree to use EduMindAI services only for lawful educational purposes and in accordance with these Terms. You shall not:
- Use the platform to harass, discriminate against or harm learners, educators or other users;
- Attempt to gain unauthorised access to platform systems, other users' accounts or institutional data;
- Reverse engineer, decompile or disassemble platform software except as permitted by applicable law;
- Introduce malware, viruses or harmful code into our systems;
- Use automated tools to scrape, crawl or extract data from our website or platform without written permission;
- Misrepresent your identity, affiliation or authority when submitting enquiries or accessing services;
- Use platform outputs to make high-stakes decisions about individuals without appropriate human review and institutional policies;
- Resell, sublicense or redistribute platform access without a written reseller agreement;
- Violate applicable laws, regulations or institutional policies governing education data and student privacy.
We reserve the right to suspend or terminate access for violations of acceptable use policies, with notice to the contracting institution where applicable.
5. Intellectual property
All content on edumindai.pro — including text, graphics, logos, software, platform technology, documentation and training materials — is owned by EduMindAI Inc. or its licensors and protected by Canadian and international intellectual property laws.
Institutional customers receive a limited, non-exclusive, non-transferable licence to use platform services during the term of their service agreement, subject to payment of applicable fees and compliance with these Terms. No ownership of platform technology transfers to customers.
Institutions retain ownership of their proprietary content uploaded to the platform and learner data generated within their deployment, subject to our data processing agreement and Privacy Policy.
6. Fees and payment
Programme and service fees are quoted in Canadian dollars (CAD) and detailed in proposals, order forms or service agreements. Unless otherwise specified, fees are exclusive of applicable taxes. Payment terms, invoicing schedules and late payment consequences are defined in institutional service agreements.
Website visitors submitting contact enquiries are not charged fees for initial consultations or demo requests. Pilot programme credits and enterprise pricing are subject to separate written agreements.
7. Service availability and support
We strive to maintain high platform availability and provide support in accordance with service level agreements for enterprise customers. Scheduled maintenance windows are communicated in advance. We do not guarantee uninterrupted access and are not liable for downtime caused by factors beyond our reasonable control, including internet outages, third-party service failures or force majeure events.
Enterprise SLA terms, including uptime guarantees and response times, are specified in separate SLA agreements for qualifying customers.
8. Disclaimers and limitations of liability
No academic outcome guarantees: EduMindAI does not guarantee specific student grades, test scores, licensure, certification or employment outcomes. Platform tools provide analytics, recommendations and automation to support educators; final academic and professional decisions remain with qualified educators and institutional authorities.
Platform provided "as is": To the maximum extent permitted by Ontario law, our website and platform services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
Limitation of liability: To the maximum extent permitted by law, EduMindAI shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, goodwill or educational outcomes, arising from your use of our services. Our total aggregate liability for any claims arising under these Terms shall not exceed the fees paid by you to EduMindAI in the twelve months preceding the claim, or C$1,000 if no fees have been paid.
Some jurisdictions do not allow exclusion of certain warranties or limitation of liability. In such cases, our liability is limited to the fullest extent permitted by applicable law.
9. Indemnification
You agree to indemnify, defend and hold harmless EduMindAI, its officers, directors, employees and agents from any claims, damages, losses, liabilities and expenses (including reasonable legal fees) arising from: your violation of these Terms; your misuse of platform services; content you submit to the platform; or your violation of any third-party rights or applicable laws.
10. Privacy and data protection
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Institutional customers are subject to additional data processing terms in their service agreements, including PIPEDA compliance obligations and data governance requirements.
11. Termination
We may suspend or terminate your access to website features or platform services if you breach these Terms, with notice where practicable. Institutional service agreements define termination procedures, data export windows and post-termination obligations for platform deployments.
Upon termination, your right to access platform services ceases. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability and indemnification — shall survive.
12. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
Before initiating formal proceedings, parties agree to attempt good-faith resolution through direct negotiation. Institutional customers may have additional dispute resolution procedures defined in their service agreements.
13. Changes to terms
We may modify these Terms at any time by posting updated terms on edumindai.pro with a revised "Last updated" date. Material changes affecting institutional customers will be communicated through appropriate channels. Continued use of our website after changes constitutes acceptance of modified Terms for website use. Platform service terms are amended according to service agreement provisions.
14. General provisions
Entire agreement: These Terms, together with our Privacy Policy, Cookie Policy and any applicable service agreement, constitute the entire agreement regarding website use.
Severability: If any provision is found unenforceable, remaining provisions continue in full force.
Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations in connection with a merger, acquisition or sale of assets.
